BRIEFING: The following is extracted from an Investment Summary and Project Development Plan written and produced by Fogleman, Rich, & Rose, under contract from Company managment.  Selective distribution of these documents resulted in an OVER-SUBSCRIPTION of the offer, generating letters of intent and cash totalling $6 million. The project is completed and management is not actively soliciting for investment capital at this time.

INTRODUCTION and SUMMARY

       High on a bluff ... overlooking Clearwater Harbor, stands an imposing, six story building, built to hurricane standards. Originally constructed as a high-tech nursing home, this tower of dense, poured concrete creates a space which is both quiet and secure yet the extensive use of glass maintains exquisite views of the waterfront from as low as the second floor.

       The sixth floor is configured as two complete, two-bedroom penthouses, each with private baths in each bedroom, full kitchens and lavish living-room areas with breathtaking, “floor-to-ceiling” views of Clearwater Beach and the Gulf of Mexico.

       The second through fifth floors contain 11 units each, forming 44 - 1br/1ba units, most of which have commanding views of Clearwater Beach, the Gulf of Mexico and the stunning sunsets for which the area is famous.

       The entrance level (1st floor) houses a restaurant (with fully equipped kitchen), complete management office complex, and reception area, while the below-ground, full basement (service level) houses an industrial duty HVAC system, water heaters, and oversized sump pumps. There is a complete independent power generator on site.

       Adjoining the Tower is a three story, 30-unit residence building and adjoining that, is a one story building previously used as a 20 bed intensive care nursing facility. These buildings are also constructed to high-quality, near hospital standards.

       The Property is uniquely situated across the street from the Inland Waterway, in downtown Clearwater, at the intersection of Ft. Harrison Avenue (Alt. U.S. 19) and Drew Street. Covering nearly a city block in one of Florida’s most desirable places to live, the total Property clearly has significant income producing potential. In addition, the Property is also across the street from the newly remodeled Sand Castle Retreat.

Objectives and Goal

       Appropriate Solutions, Inc. (the Company) is a Florida Corporation, formed for the purpose of buying and reselling this unique and strategically located property. The Objectives of Company Management are to provide Continuing Professional Management of the Project, yield the maximum possible resale income from this exciting Rehabilitation and Re-Marketing Program, and complete the Project within an 12 to 18 month time frame.

       The Goal of the Company to provide initial investors with a substantial return on their investment within as short a time frame as possible.
