As most entrepreneurs are aware, the sale of a portion of the equity in a company is among the most common ways to raise expansion or growth capital. It is also among the most challenging. The complexity of state and federal securities laws which control the methods and means of approaching investors, have given rise to a wide range of types and forms of private offering and self underwriting documents.
What is not commonly recognized, however, is that the appearance and presentation of the documentation used is of paramount importance in a successful outcome. After all, professional investors are just as succeptable to "good advertising" as the rest of us.
Fogleman, Rich & Rose have been at the forefront of recent trends which coordinate and compliment the "attractiveness" of private offering documentation without compromising the legal structure or proper disclosures of risk. Very often, this can be accomplished by using the Business Plan as a foundation, then properly "wrapping" the salient details of the Plan in a "legal form".
After our Initial Analysis, and, if your advisors recommend, the creation of a Private Placement (or Private Offering) Document, is most easily done concurrent with the production of a Business Plan.
